SDK SOFTWARE LICENSE AGREEMENT

FORMATION AND ACCEPTANCE

This Software License Agreement (the “Agreement”) is entered into between Mobilint, Inc. (“Mobilint”) and the individual who downloads, installs, or uses the Software, or the legal entity or organization that the individual validly represents (“Customer”).

Customer accepts this Agreement by either (i) selecting the acceptance checkbox during portal registration, download, or license activation, or (ii) downloading, installing, activating, or using the Software. An individual accepting on behalf of an entity represents that the individual has lawful authority to bind that entity. If Customer does not agree, or the individual lacks such authority, Customer must not download, install, activate, or use the Software.

If Customer and Mobilint have entered into a separately executed Order Form, commercial license agreement, nondisclosure agreement, or other written agreement, that document controls to the extent expressly stated in it and to the extent of any conflict with this Agreement.

1. DEFINITIONS

1.1 “Authorized User” means an employee of Customer or a contractor performing services under Customer’s direct direction and control, whom Customer manages and requires to comply with the restrictions and confidentiality obligations of this Agreement.

1.2 “Authorized Mobilint NPU” means a Mobilint NPU hardware product, development board, or product incorporating such hardware that Customer lawfully owns or is authorized by Mobilint to evaluate or use.

1.3 “Software” means the qbcompiler SDK provided through an authorized channel, including Python packages, compiled C/C++ libraries and extension modules, APIs, command-line tools, Runtime, firmware, headers, Sample Code, documentation, patches, updates, and Authorized Redistributable Components provided by Mobilint as part of the qbcompiler SDK.

1.4 “Runtime” means Mobilint execution libraries, drivers, firmware, command-line utilities, or other components that are or may be required to install, execute, operate, maintain, or support an Output or Application on an Authorized Mobilint NPU.

1.5 “Input” means any model, code, data, configuration, or other material that Customer provides to or processes using the Software.

1.6 “Output” means any compiled artifact, converted file, or file in the MXQ format (.mxq) generated by the Software from an Input. An Output may include transformed model parameters or weights, Mobilint-generated NPU instructions or executable binary data, and related metadata. An Output does not include the Software or Runtime merely because the Software was used to generate it or the Runtime is required to execute it.

1.7 “Application” means Customer’s own program or product developed using the Software, excluding the Software and Runtime themselves.

1.8 “Third-Party Materials” means open-source software, models, model weights, tokenizers, configurations, datasets, or other materials owned by a third party.

1.9 “Agreement Term” means the period beginning when Customer first accepts this Agreement and ending when this Agreement is terminated under Section 18.

1.10 “License Period” means the period during which Customer is authorized to use the Software, as specified in an Order Form, license certificate, portal entitlement, or Mobilint’s written approval. If no period is specified, the License Period is the period during which a valid license key or portal entitlement remains active.

1.11 “Authorized Redistributable Component” means a Runtime, driver, firmware, library, utility, or other component expressly approved for redistribution in AUTHORIZED-REDISTRIBUTABLES.txt, an Order Form, or Mobilint’s written approval under Section 7.2.

1.12 “Sample Code” means code expressly identified by Mobilint as sample, example, or tutorial code. Sample Code does not include third-party code or materials except to the extent separately licensed under applicable third-party terms.

2. LICENSE GRANT

2.1 Subject to Customer’s compliance with this Agreement, Mobilint grants Customer, during the License Period, a limited, non-exclusive, non-transferable, and non-sublicensable license to permit Authorized Users to install, internally reproduce, and use the Software solely to develop, compile, test, and run models, Outputs, and Applications intended to execute on Authorized Mobilint NPUs, and to deploy them only as permitted under Sections 6 and 7.

2.2 Customer may use the Software only within the limits of the users, installations, sites, build servers, projects, products, and License Period specified in an Order Form, license certificate, portal entitlement, or Mobilint’s written approval.

2.3 The Software is licensed, not sold. All rights not expressly granted are reserved by Mobilint and the applicable rights holders.

2.4 Subject to Section 9 and any notices accompanying the Sample Code, Mobilint grants Customer a perpetual, non-exclusive, worldwide, royalty-free license to copy, modify, create derivative works of, distribute, and sublicense Mobilint-owned Sample Code, including as part of Customer Applications. Customer must retain applicable copyright, attribution, and proprietary notices. If Sample Code is provided under a separate license, that separate license controls.

3. AUTHORIZED SCOPE OF USE

3.1 The Software may be used only to develop, test, and run models, Outputs, or Applications intended to execute on Authorized Mobilint NPUs, and to deploy them only as permitted under Sections 6 and 7.

3.2 Customer may run the Software in a host computing environment identified as supported in the documentation provided with the Software or otherwise approved in writing by Mobilint. However, Customer must not (i) use the Software to generate or convert an Output or Application intended to execute on hardware other than an Authorized Mobilint NPU, (ii) execute an Output or Application on hardware other than an Authorized Mobilint NPU, or (iii) use the Software for evaluation, validation, or comparison when Customer does not own or otherwise have lawful access to an Authorized Mobilint NPU.

3.3 Customer may use only versions provided through Mobilint’s official portal or another channel authorized by Mobilint.

4. RESTRICTIONS AND INTELLECTUAL PROPERTY PROTECTION

Except to the extent expressly permitted by applicable law and not capable of contractual waiver, Customer must not, directly or through any third party:

4.1 reverse engineer, decompile, disassemble, analyze, or otherwise attempt to derive or discover the source code, algorithms, internal structures, non-public interfaces, file formats, conversion logic, quantization methods, or hardware-mapping methods of the Software or any component;

4.2 copy, modify, translate, adapt, or create derivative works of the Software, except for (i) configurations expressly permitted in the documentation provided with the Software, (ii) Sample Code as permitted under Section 2.4, (iii) modifications to Authorized Redistributable Components expressly permitted under Section 7, and (iv) internal copies reasonably necessary to operate a normal development environment;

4.3 distribute, publish, sublicense, sell, rent, lease, lend, host, provide as a service, or otherwise make available the Software or Runtime to any third party, except as expressly permitted under Sections 2.4, 6, or 7, a separate license, or Mobilint’s prior written approval;

4.4 use the Software to develop, improve, train, or validate a competing compiler, quantization tool, runtime, accelerator or NPU SDK, toolchain, model-conversion product, or substantially similar competing product;

4.5 remove, alter, or obscure any copyright, trademark, trade-secret, attribution, or other proprietary notice;

4.6 circumvent, disable, share, or misuse any license key, account, access control, or technical protection measure; or

4.7 use or convert an Output or Application for execution on hardware other than an Authorized Mobilint NPU.

5. OWNERSHIP

5.1 Mobilint or its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, know-how, and other intellectual property rights.

5.2 The Software may embody Mobilint proprietary technology, including compiler passes, graph-transformation logic, quantization and bit-representation conversion methods, calibration methods, operator lowering, memory planning and tiling, NPU mapping and scheduling, and the MXQ format, specification, and generation logic.

5.3 This Agreement does not grant Customer any right to use Mobilint’s trade names, trademarks, logos, or product names, except for accurate and customary identification of origin. Customer must not imply endorsement, sponsorship, or certification without Mobilint’s prior written approval.

6. INPUTS, OUTPUTS, AND APPLICATIONS

6.1 As between the parties, Customer retains all rights it has in its Inputs and owns the Customer-specific content of Outputs and Applications lawfully created from Inputs for which Customer has sufficient rights using an authorized copy of the Software.

6.2 Notwithstanding Section 6.1, Mobilint retains all rights in the Software, Runtime, MXQ format and specification, Mobilint-generated NPU instructions or executable binary data, and any Mobilint technology or intellectual property embedded in or required to use an Output.

6.3 With respect to Mobilint technology and intellectual property embedded in or required to use lawfully generated Outputs and Applications, Mobilint grants Customer a non-exclusive license to use, reproduce, and distribute those Outputs and Applications, including as part of Customer products or services, solely for execution on Authorized Mobilint NPUs.

6.4 Section 6.3 does not permit redistribution of the Software or Runtime, except for Authorized Redistributable Components redistributed in accordance with Section 7. Customer must obtain Mobilint’s prior written approval before including any other part of the Software or Runtime in an Application or Customer product.

6.5 Third-party rights and license terms apply to any Input, Output, or Application that includes or is based on Third-Party Materials. Customer is responsible for obtaining all rights required to process Inputs and to use, distribute, and commercialize Outputs and Applications.

6.6 Rights under Section 6.3 for Outputs and Applications lawfully generated in compliance with this Agreement before termination of this Agreement or expiration or deactivation of the License Period survive solely to continue using, maintaining, and supporting existing Outputs and Applications on Authorized Mobilint NPUs. For that purpose, Customer may retain and use copies of Authorized Redistributable Components to the extent permitted by, and subject to, the applicable redistribution approval under Section 7.2. Unless Mobilint separately approves in writing, Customer must not, after termination of this Agreement or expiration or deactivation of the License Period, develop new Outputs or Applications, manufacture or distribute new product units, or further redistribute any Authorized Redistributable Component. This Section does not apply to any Output generated or used in breach of this Agreement.

7. REDISTRIBUTION

7.1 Customer must not redistribute or sublicense the Software, Runtime, drivers, libraries, headers, or other components without Mobilint’s prior written approval.

7.2 If Mobilint approves redistribution of a component, the authorized components, Customer product, environment, territory, term, and additional conditions will be specified in AUTHORIZED-REDISTRIBUTABLES.txt, an Order Form, or Mobilint’s written approval.

7.3 Distribution of Outputs and Applications is governed by Section 6. If an Output or Application includes any part of the Software or Runtime other than an Authorized Redistributable Component, separate prior written approval under this Section is required.

7.4 Customer may reproduce, compile, package, and redistribute Authorized Redistributable Components solely as part of, or as an installer, update, maintenance, or support package for, Customer products incorporating Authorized Mobilint NPUs, subject to the applicable redistribution approval. Customer may make only build, configuration, or compatibility modifications expressly permitted for the relevant component, including modifications reasonably necessary to build a driver for a supported kernel. Customer must preserve and reproduce all applicable notices, include the accompanying legal files, and comply with all applicable third-party licenses. Except as expressly approved, Customer must not distribute an Authorized Redistributable Component as a general-purpose standalone product or for use with non-Mobilint hardware.

8. BENCHMARKS AND EXTERNAL DISCLOSURE

8.1 Customer must not externally disclose or provide to any third party any performance, accuracy, throughput, power-efficiency, latency, technical-comparison, or benchmark result concerning the Software, a Mobilint NPU, an Output, or an Application without Mobilint’s prior written consent.

8.2 External disclosure includes papers, presentations, press releases, advertisements, marketing materials, websites, social media, analyst materials, and comparison materials provided to customers.

8.3 Any disclosure approved by Mobilint must be accurate and reproducible and must clearly identify the versions, hardware, models, configurations, measurement conditions, and limitations used.

8.4 Upon notice to Customer, Mobilint may immediately suspend Customer’s account and download rights or immediately terminate this Agreement for a breach of this Section.

9. THIRD-PARTY OPEN SOURCE AND MATERIALS

9.1 The Software may include components governed by separate open-source or third-party licenses. If this Agreement conflicts with an applicable third-party license, that third-party license controls solely with respect to the affected component and solely to the extent of the conflict.

9.2 Applicable copyright notices and license texts are provided in the accompanying THIRD-PARTY-NOTICES.txt file. Information regarding source code availability for components subject to source-availability obligations is provided in the OPEN-SOURCE-SOURCE-AVAILABILITY.txt file. Components approved for Customer redistribution are identified in AUTHORIZED-REDISTRIBUTABLES.txt or another applicable written approval.

9.3 This Agreement grants no rights in third-party models, weights, tokenizers, datasets, or other Third-Party Materials. Customer must independently verify and comply with all applicable terms, including restrictions on commercial use and redistribution.

9.4 Software, Sample Code, public repositories, models, or other materials expressly made available under a separate open-source, model, or third-party license are governed by that separate license to the extent stated in the applicable repository, package, model card, or notice.

10. CONFIDENTIALITY

10.1 Customer will use non-public Software, pre-release materials, non-public documentation, license keys, security information, and information marked confidential or reasonably understood to be confidential solely to perform this Agreement and will use reasonable safeguards to prevent unauthorized use or disclosure to third parties.

10.2 Section 10.1 does not apply to information that is lawfully public, becomes public without Customer’s fault, is lawfully received without a duty of confidentiality, or is independently developed.

10.3 If disclosure is legally required, Customer will, to the extent permitted by law, provide prior notice to Mobilint and limit the disclosure to the minimum legally required.

11. ACCOUNT AND SECURITY

11.1 Customer will secure its accounts, credentials, and license keys and will not share them with anyone other than Authorized Users.

11.2 Customer will promptly notify Mobilint of any loss, disclosure, or misuse of an account or license key. Customer is responsible for use resulting from its failure to exercise reasonable care.

11.3 Mobilint may temporarily suspend access or accounts while investigating a reasonably suspected security incident, license violation, or export-control risk.

12. FEEDBACK

If Customer provides suggestions, bug reports, improvement ideas, or other feedback concerning the Software, Customer grants Mobilint a worldwide, perpetual, irrevocable, royalty-free, and sublicensable license to use, reproduce, modify, distribute, and otherwise exploit that feedback for any purpose. Mobilint is not required to use any feedback.

13. SUPPORT AND UPDATES

Unless a separate written agreement provides otherwise, Mobilint has no obligation to provide maintenance, technical support, corrections, updates, or upgrades. Updates may be subject to additional or modified terms presented when provided.

14. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, OUTPUTS, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MOBILINT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CONTINUITY, AND ERROR-FREE OPERATION. MOBILINT DOES NOT WARRANT THAT EVERY MODEL WILL CONVERT SUCCESSFULLY OR THAT ANY OUTPUT WILL BE ACCURATE, PERFORM AS EXPECTED, OR BE SUITABLE FOR A PARTICULAR USE.

15. LIMITATION OF LIABILITY

15.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOBILINT WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SOFTWARE, OUTPUTS, OR APPLICATIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 MOBILINT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT CUSTOMER ACTUALLY PAID MOBILINT FOR THE SOFTWARE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY AND (B) KRW 100,000.

15.3 The limitations in this Section do not apply to liability arising from willful misconduct or gross negligence, death or personal injury, or any liability that cannot be excluded or limited under applicable law.

16. CUSTOMER INDEMNIFICATION

Customer will defend, indemnify, and hold harmless Mobilint and its personnel from any third-party claim, damage, cost, and reasonable attorneys’ fee arising out of (i) Customer’s Inputs, Third-Party Materials, Outputs, or Applications, (ii) Customer’s breach of this Agreement, or (iii) Customer’s violation of applicable law, except to the extent directly caused by Mobilint’s willful misconduct or gross negligence.

17. EXPORT CONTROLS AND SANCTIONS

17.1 Customer will comply with all applicable export-control, economic-sanctions, and trade-restriction laws, including the laws of the Republic of Korea and, to the extent applicable, the U.S. Export Administration Regulations (“EAR”).

17.2 Without any required authorization, Customer must not export, reexport, transfer, or provide the Software, technology, license keys, or Outputs to any prohibited or restricted country, territory, end user, or end use.

17.3 Customer represents and warrants that neither Customer nor its Authorized Users are listed on an applicable sanctions or restricted-party list and that the Software will not be used for nuclear, missile, chemical or biological weapons, prohibited military or intelligence uses, or any other restricted end use.

17.4 Mobilint may deny or suspend access to downloads or support, or suspend or terminate accounts or license keys, when reasonably necessary to comply with applicable law.

18. TERM AND TERMINATION

18.1 This Agreement begins when Customer first accepts it and remains in effect throughout the Agreement Term. Expiration or deactivation of the License Period does not by itself terminate this Agreement; however, unless renewed or separately approved in writing by Mobilint, Customer’s license to use the Software under Section 2 ends when the License Period expires or is deactivated.

18.2 Upon notice, Mobilint may immediately terminate this Agreement or suspend Customer’s license, account, or access rights for a breach of Section 4, 7, 8, 10, 11, or 17. For any other breach, Mobilint may terminate this Agreement if Customer does not cure the breach within a reasonable period specified by Mobilint.

18.3 Upon termination, Customer must immediately stop using the Software and delete or destroy all copies and license keys in Customer’s or its Authorized Users’ possession or control. However, Customer may retain and use (i) Sample Code and derivative works lawfully licensed under Section 2.4, (ii) Authorized Redistributable Components incorporated into products lawfully distributed before termination, and (iii) copies of Authorized Redistributable Components reasonably necessary to continue using, maintaining, and supporting existing Outputs and Applications under Section 6.6, in each case subject to the applicable terms and redistribution approval. Except for the continuing rights in Sample Code under Section 2.4, this exception does not permit new development, manufacture or distribution of new product units, or further redistribution of any Authorized Redistributable Component. Upon request, Customer will certify compliance with this Section in writing.

18.4 Sections 2.4, 5, 6.5, 6.6, 7.4, 8, 9, 10, 12, and 14 through 20 survive termination to the extent their nature requires.

19. GOVERNING LAW AND JURISDICTION

19.1 This Agreement is governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19.2 Except to the extent mandatory law or a non-waivable right applies, the courts of the Republic of Korea having jurisdiction over Mobilint’s principal place of business have exclusive jurisdiction as courts of first instance over any dispute arising out of or related to this Agreement.

20. GENERAL

20.1 Customer may not assign or transfer this Agreement or any right or obligation under it without Mobilint’s prior written consent. Mobilint may transfer this Agreement in connection with a merger, reorganization, or transfer of its business or assets.

20.2 If any provision is held invalid or unenforceable, the remaining provisions remain effective, and the affected provision will be reformed to the minimum extent necessary to achieve its intended purpose.

20.3 A failure to exercise any right is not a waiver.

20.4 This Agreement and any separate written agreement constitute the entire agreement regarding the Software. A modified version of this Agreement applies only after Mobilint presents it and Customer validly accepts it.

20.5 If Korean and English versions of this Agreement are provided and conflict, the Korean version controls to the extent permitted by applicable law.
